These Terms and Conditions ("Terms") govern access to and use of Parcelion, a warehouse management software service ("Parcelion", the "Service", "we", "us", or "our"). Parcelion is operated by [Zine El Abidine Falouti], based in [Agadir, Morocco]. By submitting a trial application, creating an account, accessing the Service, or purchasing a subscription, you ("Customer", "you", or "your") acknowledge that you have read and understood these Terms and agree to be bound by them. If you access Parcelion on behalf of a company or another organization, you represent that you are authorized to accept these Terms on its behalf. In that case, "Customer" refers to that organization. If you do not agree to these Terms, you must not access or use the Service.
Parcelion provides digital tools designed to help businesses manage warehouse operations, including inventory, inbound and outbound orders, warehouse tasks, operational reporting, dashboards, and selected artificial intelligence and machine-learning features. Features, usage limits, storage capacity, and access rights may depend on the Customer's subscription plan. We may improve, modify, add, or discontinue features as part of the ongoing development of Parcelion. Where a material change significantly affects a paid subscription, we will provide reasonable notice where practicable, subject to security, legal, and operational requirements. We do not guarantee that every feature will be suitable for every business, warehouse, workflow, or regulatory environment.
To use Parcelion, you must provide accurate, current, and complete information during registration and keep that information reasonably up to date. You must be legally capable of entering into a binding agreement. If you are acting for a business, you must have authority to bind that business. You are responsible for:
You must not impersonate another person or business, submit fraudulent information, or attempt to obtain unauthorized access to another Customer's account or data. We may request reasonable information to verify a trial application, resolve a security concern, or administer a subscription.
Parcelion may offer a free trial of the Service for a period of seven (7) days, subject to approval and the conditions communicated at the time of application. Submitting a trial request does not automatically create an account or guarantee access. Trial applications may be reviewed manually to determine whether Parcelion is appropriate for the applicant's stated warehouse operations. We may decline an application where information is materially incomplete, appears fraudulent, presents a security risk, or indicates that the requested use is not supported by the Service. Decisions will be made subject to applicable law. If an application is approved, we will provide account activation instructions and communicate the applicable trial period. Unless expressly stated otherwise in writing, the trial:
At the end of the trial, continued access may require a paid subscription. We will communicate the applicable plan and price before requiring payment.
Parcelion may offer monthly, annual, or other subscription plans. The features, limits, prices, currency, billing period, and applicable taxes will be communicated before a paid subscription is accepted. Annual subscriptions may be offered at a discounted price equivalent to two months free compared with twelve monthly payments, where that offer is expressly stated at the time of purchase. Payments may be administered manually, including through invoices or payment instructions issued by the Operator. A subscription is activated or renewed when the applicable payment and activation requirements have been satisfied and confirmed. Unless expressly agreed otherwise:
We will not retroactively change the agreed price for an already-paid subscription period. Changes to pricing for a future renewal will be communicated in advance. If a payment is overdue, we may send a reminder and restrict or suspend paid access in accordance with Section 10. You remain responsible for amounts properly due for services already provided, subject to applicable law.
You may request cancellation or non-renewal by contacting support@parcelion-wms.com or using another cancellation method made available within Parcelion. Because subscriptions may be managed manually, a cancellation request is not complete until we acknowledge it or confirm the applicable effective date. Unless the applicable offer or law provides otherwise:
Nothing in this section excludes any statutory right to cancel, withdraw, obtain a refund, or receive compensation that cannot lawfully be waived.
You may use Parcelion only for lawful business purposes and in accordance with these Terms. You must not:
We may investigate suspected misuse and take proportionate action to protect Customers, the Service, and third parties.
"Customer Data" means information, records, files, and other content that you or your authorized users submit to, upload to, or generate through your use of Parcelion. As between you and the Operator, you retain your rights in your Customer Data. You grant us a limited, non-exclusive right to host, process, transmit, display, and otherwise use Customer Data only as reasonably necessary to provide, maintain, secure, and support the Service, comply with legal obligations, and perform our agreement with you. You are responsible for:
You must not upload payment-card security codes, highly sensitive personal information, or other information that Parcelion does not need and is not designed to handle. You remain responsible for determining whether Parcelion is appropriate for your legal, operational, recordkeeping, and industry-specific obligations.
We process personal information as necessary to operate Parcelion, manage accounts and subscriptions, review trial applications, provide support, maintain security, and comply with legal requirements. We do not use cookies or collect personal data for tracking or advertising purposes as stated in our website notice. This statement does not mean that we collect no personal information: account details, support communications, billing information, security logs, and other operational data may be processed as necessary. The handling of personal information is further described in our Privacy Policy, available at [Privacy Policy URL]. Parcelion may rely on third-party providers for infrastructure, database hosting, security, payment processing, communications, and artificial intelligence features. Those providers may process information on our behalf or under their own applicable terms, depending on the service. We take reasonable measures appropriate to the Service to protect Customer Data. However, no internet-connected system can be guaranteed completely secure, and we cannot promise that unauthorized access, data loss, or service interruptions will never occur. We will handle personal information in accordance with applicable data-protection law, including applicable obligations concerning security, data-subject rights, retention, and international transfers. Customers must not assume that data will be stored exclusively in a particular country unless we expressly confirm that arrangement in writing.
You may stop using Parcelion and request account closure in accordance with these Terms. We may suspend or restrict access where reasonably necessary to:
Where reasonably practicable, we will notify you of the reason for a suspension and give you an opportunity to resolve the issue. We may act immediately where necessary to address urgent security, legal, or operational risks. For expired trials or unpaid subscriptions, the following account-expiration procedure applies unless a different written arrangement or mandatory law governs:
Where this procedure applies, the intended maximum interval between expiry and deletion is approximately sixty (60) hours. Temporary copies in backups or logs may persist for a longer period according to their retention cycles, security needs, and legal obligations. We will communicate this policy clearly before activation and, where reasonably practicable, provide a reminder before deletion. Customers are responsible for exporting important information before access expires. We may terminate access for a material or repeated breach of these Terms. Where the breach can reasonably be remedied, we will ordinarily provide notice and an opportunity to remedy it. Upon termination, your right to use the Service ends. Sections intended by their nature to survive termination, including payment obligations, intellectual-property rights, limitations of liability, and dispute provisions, will continue to apply.
You may request an export or deletion of Customer Data by contacting [support@parcelion-wms.com], subject to identity verification and applicable technical limitations. Where export functionality is available, you should use it before the end of a trial or subscription. We do not guarantee that every record will remain accessible after an account has expired or been deleted. We may retain limited information where reasonably necessary to comply with legal obligations, resolve disputes, enforce agreements, prevent fraud, or maintain security. Such information will be retained only as permitted or required by applicable law. Deletion from active systems may not immediately remove every copy from disaster-recovery backups. Backup copies will be overwritten or deleted according to applicable retention cycles unless an earlier deletion is technically feasible or legally required.
Parcelion may include AI-assisted analysis, forecasting, classification, recommendations, or other machine-learning features. These features may produce inaccurate, incomplete, outdated, or unsuitable results. Predictions are estimates, not guarantees of future outcomes. Outputs may depend on the quality, completeness, and representativeness of the data supplied. AI-generated outputs are provided to assist human decision-making. They are not a substitute for professional judgment, physical inventory checks, financial or legal advice, or operational safety procedures. You are responsible for reviewing important AI-generated outputs before acting on them, particularly where they could affect stock purchasing, dispatch, customer commitments, financial decisions, or workplace safety. Where Parcelion uses an external AI provider, relevant inputs may be transmitted to that provider to generate the requested output. Further details, including the applicable provider and processing arrangements, should be described in our Privacy Policy. You must not submit confidential or personal information to AI features unless you are authorized to do so and the relevant processing is permitted under applicable law and our published privacy information. We do not guarantee that AI features will be available without interruption, produce error-free results, or achieve a particular business outcome.
We aim to maintain a reliable Service but do not guarantee uninterrupted availability or error-free operation. Access may be interrupted by maintenance, updates, infrastructure failures, network issues, third-party outages, security incidents, or events beyond our reasonable control. Where practicable, we will give notice of planned maintenance likely to materially affect the Service. You are responsible for maintaining suitable internal procedures for warehouse operations and for keeping independent copies of critical records. Unless expressly agreed in a separate written service commitment, we do not guarantee a particular recovery time, recovery point, or backup frequency. Nothing in this section removes any duty to protect Customer Data or provide a remedy that applicable law requires.
Parcelion WMS, including its software, design, branding, interfaces, documentation, and original content, is owned by the Operator or its licensors and is protected by applicable intellectual-property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business operations during the applicable trial or subscription period. You may not copy, distribute, modify, sell, or create derivative works from Parcelion except as expressly permitted by us or by applicable law. You retain ownership of your Customer Data. Nothing in these Terms transfers ownership of Customer Data to the Operator. If you provide suggestions or feedback about Parcelion, you permit us to use that feedback to improve the Service without compensation, provided that this does not transfer ownership of your Customer Data or disclose your confidential information.
Each party may receive non-public information from the other in connection with the Service. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the Service, unless disclosure is authorized or legally required. Information is not confidential under this section if it is publicly available without breach, was lawfully known before disclosure, is independently developed without use of the confidential information, or is lawfully received from a third party without a duty of confidentiality. We may disclose information to service providers, professional advisers, or authorities where reasonably necessary for the Service, professional obligations, security, or compliance with law, subject to applicable confidentiality and data-protection requirements.
Parcelion is provided on an "as available" basis, subject to the rights and remedies that applicable law requires. To the fullest extent permitted by law, we do not warrant that the Service will be uninterrupted, entirely error-free, compatible with every system, or suitable for every particular purpose. We do not guarantee specific commercial results, including increased revenue, reduced operating costs, inventory accuracy, forecasting accuracy, or productivity improvements. You remain responsible for determining whether the Service meets your requirements and for independently verifying critical operational information. Nothing in these Terms excludes a warranty, guarantee, or statutory right that cannot lawfully be excluded or limited.
To the fullest extent permitted by applicable law, the Operator will not be liable for indirect, incidental, special, exemplary, or consequential losses, or for loss of profits, revenue, business opportunities, anticipated savings, or goodwill arising from use of or inability to use the Service. To the fullest extent permitted by law, the Operator will not be liable for losses arising from inaccurate Customer Data, decisions made solely on the basis of AI-generated outputs, failures of third-party services, interruptions outside our reasonable control, or the Customer's failure to maintain appropriate independent records. Subject to mandatory law, the Operator's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the subscription fees actually paid by the Customer to the Operator for the three (3) months immediately preceding the event giving rise to the claim. If no subscription fees were paid, the cap will be zero, except where applicable law requires otherwise. This limitation does not apply to liability that cannot lawfully be excluded or limited, including any liability for fraud or intentional misconduct where such limitation is prohibited, or any other non-excludable statutory liability. Nothing in these Terms limits your rights where such a limitation would be unlawful.
To the extent permitted by law, you agree to be responsible for third-party claims, losses, and reasonable costs arising directly from your unlawful use of Parcelion, your infringement of third-party rights, or your material breach of these Terms. This obligation does not apply to the extent a claim results from our own unlawful conduct, negligence, breach of these Terms, or other circumstances for which you cannot lawfully be held responsible. We will provide reasonable notice of a claim for which indemnification is sought and will not agree to a settlement that imposes liability or obligations on you without your consent, which will not be unreasonably withheld.
Parcelion may rely on or link to third-party services. Those services may have their own terms, privacy policies, availability conditions, and fees. We are not responsible for the independent operation of third-party services to the extent they are outside our control. However, this section does not exclude any responsibility that applicable law places on us for our own selection, integration, representations, or conduct. You are responsible for reviewing third-party terms where relevant to your use of those services.
We may update these Terms to reflect changes in Parcelion, applicable law, security requirements, or business operations. We will update the "Last updated" date when making revisions. For material changes affecting existing Customers, we will provide reasonable notice through the Service, by email, or by another appropriate means where practicable. Changes will not retroactively remove rights that have already accrued or override mandatory legal protections. Where a change materially affects a paid subscription, the Customer may contact us before the change takes effect to discuss cancellation or other available remedies, subject to the applicable agreement and law. Continued use after an updated version takes effect constitutes acceptance only to the extent permitted by applicable law. Where express consent is required, we will request it.
These Terms are governed by the laws of the United States of America, without displacing any mandatory legal protections that apply to the Customer. If a dispute arises, the parties will first attempt to resolve it in good faith through written communication. If the dispute cannot be resolved informally, it may be submitted to the competent courts or another dispute-resolution body with jurisdiction under applicable law. Nothing in this section prevents a party from seeking urgent legal relief where appropriate or removes any mandatory right to bring a claim before a competent court or authority.
Neither party will be responsible for a delay or failure to perform obligations to the extent caused by an event beyond its reasonable control, such as a natural disaster, widespread network outage, war, civil unrest, government action, or major third-party infrastructure failure. The affected party will take reasonable steps to mitigate the effects and resume performance when practicable. This section does not excuse payment obligations for services already provided or other obligations that cannot lawfully be excused.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the extent legally permissible. A failure to enforce a provision does not constitute a permanent waiver of that provision. You may not transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by law. We may transfer these Terms as part of a lawful business restructuring or transfer of the Service, subject to applicable law and appropriate safeguards for Customer Data. These Terms, together with any applicable order, subscription confirmation, and referenced policies, form the agreement governing your use of Parcelion. If a separate written agreement expressly overrides a provision of these Terms, the conflicting provision of that agreement will prevail for the relevant Customer. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between the parties.

By using Parcelion, you acknowledge that you have had an opportunity to review these Terms. Where applicable law requires a specific form of consent or acknowledgement, that requirement will apply.
